Target Market Terms of Use
Instant Expert Inc. (“Instant Expert”) integrates its platform with industry-specific software solutions. Professionals in certain target markets can use the Instant Expert site to facilitate lead-generation services. This Target Market Terms of Use (the “Agreement”) memorializes the agreement between you and Instant Expert. By consenting to this Agreement you permit Instant Expert to share submitted information with Instant Expert Media Partners.
Services
Through strategic relationships with Media Partners, Instant Expert will permit you with an opportunity to advertise to target markets (the “Services”). You will have an opportunity to develop and approve an advertisement. Your online advertisement will be directed to a target audience. You are only billed if a call or click results in a prospective customer for your business, or prospect. Through its unique background in telemarketing and complex software solutions, Instant Expert is able to provide clients with a comprehensive advertisement campaign without a client having to expend staff and information technology resources.
Cost of Services
The standard per prospect price is seven dollars ($7.00) per prospect processed. You will provide Instant Expert and/or its Media Partners with your billing information. Your credit card will be billed in increments of 20 prospects or every 30 days. Please contact Instant Expert for bulk rates which offer a package of ad management and prospect services at a discounted amount. An initial forty nine dollar ($49.00) order amount will be charged to all users for each order and will be credited towards the initial seven prospects. All fees are non-refundable.
Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. INSTANT EXPERT AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
Limitation of Liability
YOU EXPRESSLY UNDERSTAND AND AGREE THAT INSTANT EXPERT AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF INSTANT EXPERT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM THE USE OR THE INABILITY TO USE THE SERVICES.
Indemnity
You agree to indemnify and hold InstantExpert harmless from and against, and to reimburse InstantExpert with respect to, any and all losses, damages, liabilities, claims, judgments, settlements, fines, costs and expenses (including reasonable related expenses, legal fees and costs of investigation) or every nature whatsoever incurred by InstantExpert by reason of or arising out of or in connection with (i) any breach of this Agreement by you; (ii) any infringement of any copyright, trade-mark, patent, trade secret or any other intellectual propriety right of any party by your content or activity related to the Site; or (iv) illegal, libelous, or defamatory content submitted by you.
Termination
You can cancel this Agreement at any time. All fees paid in advance of cancellation are non-refundable. Instant Expert reserves its right to cancel this Agreement, upon reasonable notice to you, upon your breach of this Agreement.
Privacy Policy
This Agreement is subject to data collection and use policies of Instant Expert, outlined at http://www.InstantAdExpert.com/Policy.aspx.
Entire Agreement
This Agreement constitutes the entire agreement between you and Instant Expert related to lead-generation services.
Governing Law and Forum
You agree that this Agreement shall be governed in all respects by the laws of the State of California, without regard to conflict of law provisions. You agree that any claim or dispute you may have against Instant Expert must be resolved by a court located in Sacramento County, California, except as otherwise agreed by the parties. You agree to submit to the personal jurisdiction of the courts located within Sacramento County, California for the purpose of litigating all such claims or disputes.
General
If any of these terms shall be deemed invalid, void, or for any reason unenforceable, that term shall be deemed severable and shall not affect the validity and enforceability of any remaining term.
